Terms of Service

1. Agreement

By accessing or using any VindexAI product or service ("Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services. "VindexAI" refers to VindexAI Holdings, based in Louisville, Kentucky, and its subsidiaries.

2. Account responsibilities

You are responsible for maintaining the security of your account credentials. Do not share your login information. You are responsible for all activity that occurs under your account.

You must provide accurate and complete information when creating an account. If your information changes, update it promptly.

3. Acceptable use

You agree to use the Services only for lawful purposes. You will not:

• Attempt to gain unauthorized access to any part of the Services or related systems.
• Use the Services to transmit malware, spam, or other harmful content.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use the Services in any way that violates applicable laws or regulations.
• Resell, sublicense, or redistribute the Services without written authorization.
• Use the Services to process data in violation of HIPAA or other healthcare regulations (for Val users, this means only through authorized provider relationships).

4. Intellectual property

Our platform: VindexAI owns all rights in the Services, including the software, algorithms, designs, documentation, and the CORE methodology. These Terms do not grant you any ownership interest in the Services.

Your data: You retain all rights to the data you input into the Services. We do not claim ownership of your content. We use your data only as described in our Privacy Policy.

5. Service availability

We strive to keep the Services available and reliable, but we do not guarantee uninterrupted access. The Services are currently in beta and are provided "as is." We may modify, suspend, or discontinue features with reasonable notice.

We do not offer formal Service Level Agreements (SLAs) during the beta period. When we do, they will be documented separately.

6. Payment

Paid features are billed as described at the time of purchase. All fees are non-refundable unless otherwise stated. We may change pricing with 30 days notice. Continued use after a price change constitutes acceptance.

7. Limitation of liability

To the maximum extent permitted by law, VindexAI is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. This includes lost profits, data loss, or business interruption.

Our total liability for any claim arising from the Services is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

8. Indemnification

You agree to indemnify and hold VindexAI harmless from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

9. Termination

Either party may terminate the agreement at any time. You may close your account through the product settings or by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ends immediately. We will make your data available for export for 30 days after termination.

10. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be resolved in the state or federal courts located in Jefferson County, Kentucky.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use of the Services after changes constitutes acceptance. If you do not agree to updated Terms, stop using the Services.
